General Sales Conditions

1. INTRODUCTION AND IDENTITY OF THE COMPANY

The BHOJPUR CONSULTING PRIVATE LIMITED (CIN: U74999PN2018PTC175668) and its affiliates, if any, (collectively referred to as 'BHOJPUR', 'BCPL', 'we', 'us' or 'our') is registered as a private-equity, limited company by shares, in the Registrar of Companies, Pune in the state of Maharashtra, India.

2. SCOPE OF THE GENERAL SALES CONDITIONS

These general sales conditions have for purposes
  1. to inform any potential customer of the terms and conditions under which BCPL sells and delivers the products or contents or platform APIs or services ordered and
  2. to set out the rights and obligations of the parties within the framework of the sale of the products by the seller to the customer.
They apply, without restriction or reservation, to all the orders for products or contents or platform APIs or services made available by BCPL on its Internet website (located at www.bhojpur-consulting.com and/or www.bhojpur-consulting.org and/or www.bhojpur.net and more generally all URL and websites administered by BCPL or within the Bhojpur Consulting's domain and/or its sub-domains). 

Please read these terms carefully. BCPL reserves the right to change these general sales conditions at any time.

3. GEOGRAPHY

These products or contents or platform APIs or services are offered for sale within the following geographic area: India, and other countries across the globe.

4. PRICES
  1. The prices of BCPL products or contents or platform APIs or services are indicated in USD (and/or INR), excluding delivery charges.
  2. The delivery charges are shown prior to your order's registration and are invoiced separately. Their amount depends upon the destination (e.g. India or rest of the world) of the order.
  3. The prices include value added tax (VAT) at the rate in effect on the day the order is placed.
  4. Any change in the VAT rate will automatically be reflected by BCPL in the price on its website

  5. The BCPL reserves the right to revise and modify the prices of products or contents or platform APIs or services offered on its website at any time.
  6. You will be charged the prices displayed on BCPL website at the time your order is registered.
5. PRODUCT SPECIFICATIONS

The BCPL shall not be committed in any way by the photographs, graphical representations, and/or descriptions of products or contents or platform APIs or services displayed on its website, and offered for purely indicative sale purposes

6. ORDER

When you register an Order on either of the following BCPL websites

  4. Hosted Pages (e.g. Zoho Checkout) and/or by authorised payment processors
then, you acknowledge
  1. that you have accepted, without restriction or prejudice, these general sales conditions,
  2. the prior knowledge of them before placing your order,
  3. that you are legally able to commit yourself with regard to these general sales conditions,
  4. that you have made an informed decision and have accepted without prejudice the prices, volumes and quantities of the products offered for sale and ordered and
  5. that the products or contents or platform APIs or services purchased on the BCPL Internet website are not linked to your professional activities and are strictly for personal use.
All orders submitted by you are subject to acceptance by the BCPL. The BCPL may choose not to accept your order for any reason without liability to you.

Once your order has been accepted by our products or contents or platform APIs or services order handling team, you will separately receive to, the e-mail address provided by you when placing an order, the Order Confirmation and the products or contents or platform APIs or services Tax Invoice

You should keep a copy of this information.

7. RESERVATION OF TITLE

The delivered products or contents or platform APIs or services remain the property of BCPL until full payment of all claims arising from the Order, including the principal, costs, and taxes.

8. PAYMENT

The following payment methods may be accepted by Bhojpur Consulting website:
  1. Credit or Debit Cards (VISA, MasterCard, American Express)
  2. Stripe
  3. PayPal
  4. Cryptocurrencies (e.g. Ethereum in some countries)
Payment must be made when you place the Order. The Sums involved in the payment shall not be considered as down payments or advances. We will process the entire amount due along with the Order Confirmation.

By using our Payment facilities and/or authorised services,
  1. You guarantee to BCPL that you have the necessary authorisations for the payment of your Order.
  2. In the event of non-payment of any sum due or in the event of a payment irregularity, the BCPL reserves the right at any time after receiving your Order to suspend or cancel your Order and/or delivery.
  3. As a protection against fraud, the BCPL reserves the right to request buyer's ID documents for any credit card payment.
  4. The BCPL reserves the right to refuse to ship orders to customers, refusing to make such information available or whose information is suspicious in anyway.
  5. Within the framework of the fight against Internet fraud, information concerning your Order may be forwarded to third-parties for verification. Your order may be delayed, if additional verification of billing information is necessary.
  6. Please ensure that your billing and shipping addresses are exactly correct, to avoid delays in order processing.
  7. Incorrect information may cause a delay in the processing of your Order.
9. CHOICE OF PRODUCTS

By accepting those general sales conditions, you have taken knowledge of BCPL products or contents or platform APIs or services and their specifications.

Before placing an Order, you have under your sole responsibility
  1. to choose the products or contents or platform APIs or services that are the subject of your Order, based on your needs and
  2. to judge of the compatibility of the products or contents or platform APIs or services ordered with those you use.
If you consider that you do not have the competence needed to make such a judgment, it is exclusively up to you to seek advice.

10. DELIVERY

All the physical products are delivered to the shipping address you provided during the Order. Any downloadable digital contents or platform APIs or services are activated online after receiving due payments.

The BCPL does not dispatch Orders outside the territories mentioned in the section 'Scope of the General Sales Conditions' of these general sales conditions.
  1. To ensure a quality service, we use an appropriate logistics service provider company for the delivery to address provided. Our Orders can be transported by logistics companies e.g. DHL, UPS, FedEx, (non exhaustive list).
  2. In order to monitor the progress of the delivery of your Order, you will receive an email with a Tracking Number or an estimated delivery date.
  3. We ask you to be watchful when receiving your Order concerning the state of the parcel's packaging and its contents, in the presence of the logistics carrier's employee.
  4. Should you have any doubts whatsoever about a possible anomaly, you must:
    1. follow the logistics carrier's procedures (in particular, notify of any damages, claims, and reservations) and refuse to accept the merchandise by immediately making a declaration to the logistics carrier's worker that the products are not in good order.
    2. inform BCPL of the irregularities along with the Order number.
11. DELIVERY TIMES

The physical Products that are in-stock are usually delivered within 3 -to- 12 business days. The delivery time depends on the destination of the Order.

Because the quality of service we offer, and your satisfaction is our priority, you should inform us by email, if you experience a delivery delay in comparison to the initial delivery date. This will allow us to carry out an investigation with respect to the shipping company.

An investigation concerning a logistics company may take up to 21 working days.
  1. if, during this period, we find your products, we will ship them immediately to the delivery address indicated in the Order.
  2. otherwise, if we cannot locate your products at the end of this period of 21 days of investigation, The BCPL will forward at its own expense the ordered products.
  3. if the ordered products are no longer available, the provisions of the article "Product Availability" will apply.
  4. if the customer decides to Order other products instead, the shipping costs will be at his expense (for more information, see the article "Returns Policy").
  5. please note that these delivery times are purely indicative.
  6. you shall not claim any damages, withhold any sums, or cancel the Order, if the delivery of your products would occur after the announced date.
Nevertheless, in accordance with the India's Consumer Rights directive, the products ordered shall be delivered within a maximum period of 30 days from the date when Order has been registered and payment has been paid in full.

You may cancel your Order in the contrary event. In that case paid sums will be refunded to you without any delay, at the exclusion of any other compensation.

12. QUALITY AND CONFORMITY PROBLEMS

May you judge the products or contents or platform APIs or services to be defective or not in compliance, you shall address your claim to BCPL within a period of 30 days from the receipt of the products or contents or platform APIs or services.

If you fail to respect given time periods and return procedure, you will lose the ability to make any claim of non-conformity or defect, and products or contents or platform APIs or services delivered will be then considered as being in compliance and exempt from any apparent defect.

13. PRODUCT AVAILABILITY

There may be occasions when BCPL confirms your Order, but subsequently learns that it cannot supply the ordered products or contents or platform APIs or services.

In this case, in accordance with the Consumer Code (India's law), the BCPL will inform you as soon as possible and may send you a products or contents or platform APIs or services of equivalent quality and price.

The shipping charges for physical products will be paid for by the BCPL.

If the BCPL does not use this mechanism, you will be refunded as soon as possible and, in any event, at the latest within 30 days of your payment.< /div>
14. RIGHT TO CANCEL AND RETURN POLICY

Should you wish to return a defective or not in compliance products, with a view to exchanging it or seeking a refund, or should you wish to utilise your right to cancel and return, you must comply with all the following conditions and strict cancel-and-return procedure.

This cancel-and-return procedure is a 3 steps process.

STEP 1: RETURN REQUEST
 
According to the Consumer Code (India's law), you have 14 days from the date of receipt of the ordered products to request a return of the products at your own expense. The BCPL extends this period to 30 days.

STEP 2: RETURN THE PRODUCT
 
In answer to your return request, we will
  1. send you an email with a Return Merchandise Authorisation (RMA) form and a return address. 
  2. the return of the products must take place within seven business days of BCPL issuing a RMA form. At the end of that period, the BCPL will not exchange or refund the products ordered.
  3. All the costs and risks involved in the return of the products are at your own expense, except if specifically mentioned otherwise (for instance “Free Return” offer). It is strongly recommended that you return the products by receipted registered post to ensure its arrival at the given address. 
  4. You understand that a parcel that is not sent by BCPL cannot be taken under the responsibility of the latter. As the addresser, you are the only one in a position to ask the logistics carrier to open an inquiry.
  5. All the following elements/conditions must be fulfilled for the BCPL to accept your return:
    1. Your return must have BCPL prior authorisation and the Return Merchandise Authorisation form, provided by the BCPL Customer Service, printed out, filed and attached to the returned products.
    2. You must respect the original state of the products (sealing, packaging, accessories, manual, etc)
    3. You must provide attached Tax Invoice relating to the purchase.
    4. Incorrect or excessive use, a deteriorated state of presentation, and in general any inappropriate use with respect to the purpose for which the products was meant, will void your right to return the products.
    5. We will not refund or reimburse any products that has been damaged, or whose original packaging has been deteriorated. In particular, if the products' packaging has been deteriorated during the return, BCPL will not accept its reimbursement.
STEP 3: REFUND
 
Upon receipt of the Product returned, the BCPL will confirm its good reception by sending you an e-mail. The BCPL reserves the right to decide in good faith, if all of these conditions have been met.

The BCPL acceptation of your return will result in a cash refund. This refund may be made by re-accrediting the payment method used for the original payment of the Product. It will take place within 14 days at most after issuing the receipt confirmation of the Product.

15. LIABILITY AND LIMITED WARRANTY

The products or contents or platform APIs or services offered by BCPL are in accordance with the current India's legislation.
  1. The BCPL shall not be held liable for the total or partial non-performance or a delay in performance of the contract, that is caused by the products being out of stock, unavailable, or by a Force Majeure event including, without limitation, severe disturbance in the security of the Internet, technical failures, unauthorised access and/or intrusions into the Website's servers, strikes of all natures and computer or telephone failure.
  2. The BCPL shall not be held liable for any indirect damages that might arise from the fact of purchasing the products or contents or platform APIs or services.
  3. You benefit from a limited warranty against hidden defects.

16. PARTIAL INVALIDITY

If any provision of these general sales conditions is found to be invalid by any court having competent jurisdiction or declared as such in accordance with a law or regulation, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

17. NON-WAIVER

The fact that one of the parties does not insist that the failure by the other party to fulfil any obligation referred to in these general sales conditions be remedied shall not be construed as a waiver of the obligation in question in further occasions. No waiver shall be effective against the BCPL unless made by an authorised officer of the BCPL in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance.

18. APPLICABLE LAW

The sales of products or contents or platform APIs or services by the BCPL are subject to the regulations concerning distance selling in force in the India today.
  1. If your Order is for export, you should check with the local authorities about the entry conditions and specific prohibitions applying for the ordered items.
  2. It is your responsibility to make the necessary declaration(s) and/or payment(s) to the appropriate authorities and/or officials in your respective country.
  3. The BCPL cannot be held liable, if you do not respect the legislation of the country in which the items will be introduced.
THESE GENERAL SALES CONDITIONS ARE GOVERNED BY INDIA'S LAWS. ANY DISPUTE RESULTING FROM OUT OF THE INTERPRETATION, PERFORMANCE OR CONSEQUENCES OF THIS AGREEMENT SHALL BE SETTLED BY NEGOTIATION IN GOOD FAITH BY THE PARTIES. IF THE PARTIES HAVE NOT REACHED AN AGREEMENT WITH (1) ONE MONTH AFTER NOTIFICATION OF THE DISPUTE BY ONE PARTY TO THE OTHER PARTY BY REGISTERED MAIL WITH RECORDED DELIVERY, THIS DISPUTE SHALL BE REFERRED TO THE EXCLUSIVE JURISDICTION OF THE COURT WITHIN THE REALM OF THE INDIA COURT OF APPEAL AND OF THE INDIA TRIBUNALS IN FIRST INSTANCE, EVEN IN CASE OF PLURALITY OF DEFENDANTS OR CALL IN GUARANTY

19. PRIVACY

The information collected by the BCPL when you place an Order on its website is essential to the processing of your Order by the BCPL and/or its business partners.

The file containing the recorded information is produced and processed in accordance with the Information Technology Act 2000 in India and Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and the free circulation of these data and repealing Directive 95/46 / EC (the "General Data Protection Regulation" or GDPR).

You have the right to access, modify, rectify and delete information about you held by the BCPL.
